Terms of Service

Welcome to SmartRundown. These Terms of Service ("Terms") govern your access to and use of the SmartRundown website and tools at smartrundown.com (the "Service"), operated by SmartRundown ("SmartRundown," "we," "us," or "our"). Please read them carefully. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using SmartRundown, you confirm that you are at least 18 years old and that you have the authority to agree to these Terms, whether on your own behalf or on behalf of an organization. If you are using the Service on behalf of an employer or other entity, you represent that you are authorized to accept these Terms for that entity.

2. Description of the Service

SmartRundown provides AI-assisted writing tools designed for broadcast journalists, including tools that rewrite, structure, and convert text you provide — such as scripts, wire copy, notes, teases, banners, digital articles, and package frameworks. The Service uses third-party artificial intelligence technology (OpenAI's API) to generate outputs based on the content you submit.

The Service is a drafting and productivity aid. It does not perform journalism, verify facts, or produce broadcast-ready content without human review. See Section 6.

3. Accounts and Your Responsibilities

To use certain features, you must create an account. You agree to:

• Provide accurate account information and keep it current;
• Keep your login credentials confidential and not share your account;
• Be responsible for all activity that occurs under your account;
• Notify us promptly at support@smartrundown.com if you suspect unauthorized use.

You are responsible for the content you submit to the Service and for your use of any output you generate.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or regulation;
• Submit content you do not have the right to submit, or that infringes the rights of others;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Interfere with, disrupt, or overload the Service or its infrastructure;
• Use bots, scripts, scraping, or other automated means to access the Service or to send requests at a scale beyond normal individual use, including automated calls against the underlying API;
• Reverse engineer, resell, or redistribute the Service without our written permission;
• Use the Service to generate content that is unlawful, defamatory, harassing, deceptive, or that you intend to publish without the human review described in Section 6.

We may suspend or terminate accounts that violate these Terms.

5. Fees

The Service is currently offered free of charge. We may introduce paid plans or features in the future. If we do, we will provide notice and updated Terms describing any fees, billing, trial, and cancellation practices before those charges apply to you, and your continued use of any paid feature will be subject to those updated Terms.

6. AI-Generated Content — Your Responsibility to Verify

This section is important. Please read it carefully.

SmartRundown uses artificial intelligence to generate drafts based on the content you provide. AI systems can produce output that is inaccurate, incomplete, outdated, or otherwise flawed, and can occasionally generate statements that are incorrect or unsupported ("hallucinations").

You understand and agree that:

• All output is a draft, not finished journalism. You are solely responsible for reviewing, fact-checking, editing, and verifying any output before using it, and especially before broadcasting, publishing, or otherwise distributing it.
• You retain full editorial responsibility. The Service does not replace the professional judgment of a journalist, producer, editor, or news organization. The decision to air or publish any content, and responsibility for that content, remains entirely yours and your organization's.
• SmartRundown does not guarantee accuracy. We make no warranty that any output is accurate, complete, current, or suitable for broadcast or publication.
• You are responsible for compliance with your own newsroom's standards and policies, including any policies governing the use of AI tools and the disclosure of AI assistance.

You agree that SmartRundown is not responsible or liable for any content you choose to broadcast, publish, or distribute, or for any consequences arising from your use of AI-generated output.

7. Intellectual Property

Your content. You retain all rights to the content you submit to the Service ("Submitted Content"). As between you and SmartRundown, the output generated from your Submitted Content is yours to use, subject to these Terms. You grant us only the limited rights necessary to operate the Service — that is, to transmit and process your Submitted Content to generate your requested output. As described in our Privacy Policy, we do not store your Submitted Content after processing, and we do not use it to train AI models.

Our property. The Service itself — including the SmartRundown name, logo, website, software, tool designs, and written content such as guides and articles — is owned by SmartRundown and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Service without our written permission.

Third-party AI. Output is generated using OpenAI's API and is also subject to OpenAI's applicable terms.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output will meet your requirements or be accurate or reliable. See Section 6 regarding AI-generated content.

9. Limitation of Liability

To the fullest extent permitted by law, SmartRundown and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, including any reliance on AI-generated output.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless SmartRundown and its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your Submitted Content, your use of the Service or any output, your violation of these Terms, or your violation of any law or the rights of any third party.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Georgia, and you consent to the jurisdiction of those courts.
